Article 1 – Scope of application
These general terms and conditions of sale apply by operation of law to any sale of Ephrem products to a Consumer Customer, a Non-Professional Customer or a Professional Customer via the e-shop site www.four-ephrem.com. Their purpose is to define the rights and obligations of the parties in connection with the online sale of goods offered by Ephrem Fusion in accordance with the legal and regulatory provisions governing e-commerce and distance selling. All orders placed on the Ephrem Fusion e-shop Site imply unreserved acceptance of the present terms and conditions of sale, which take precedence over all other conditions, with the exception of those that have been expressly accepted by Ephrem Fusion. The Client declares that he has read and accepted the said general terms and conditions of sale before placing his order. In this respect, they are enforceable against him in accordance with the terms of article 1119 of the French Civil Code.
Article 2 – Pre-contractual information
Prior to placing an order, the Customer acknowledges that he/she has read the general terms and conditions of sale and the pre-contractual information sent to him/her via the e-shop Site, namely and in particular :
- The company name, registered office and contact details of Ephrem Fusion,
- The essential characteristics of the product,
- Its price,
- The terms of payment,
- Transport/delivery terms and costs,
- The guarantees relating to the products,
- the terms of payment and performance of the contract, as well as the procedures for handling complaints.
It is specified that the products offered for sale on the e-shop Site are described and presented as accurately as possible. However, the photographs and graphics appearing on the e-shop Site are provided for information purposes only and do not constitute a contractual commitment by Ephrem Fusion.
Article 3 – Basket / Order
To place an order, the Customer must click on the “Add to Basket” box to select the product(s) they wish to purchase, subject to availability. The basket enables the Customer to view, at any time, a summary of the products selected, their quantity, their price (excluding VAT) and the total amount of their order. Before confirming their order, they may enter a promotional code if they have one.
Due to their technical nature, rotary ovens cannot be ordered on the Site-shop. The Customer must complete the quotation form so that Ephrem Fusion can contact them as soon as possible. It should be noted that purchases made on the e-shop Site are reserved for customers for exclusively personal use. Ephrem Fusion therefore reserves the right to refuse or cancel on legitimate grounds any Order where the number of products or the amount to be paid (for a single order or several combined orders) would suggest that an economic activity is being carried out by the Customer in relation to the products ordered.
Article 4 – Product availability
Except in cases of force majeure or periods when the e-shop is closed, as clearly announced on the Site, the delivery times will be, within the limit of available stocks, those indicated in article 6 hereof. In the event of unavailability of one of the products ordered, the Customer will be informed as soon as possible and will have the option of cancelling the order. The sums paid will be reimbursed within 30 days of their payment at the latest.
Article 5 – Identity of the Parties
After checking the summary of his basket and validating the order, the Customer must identify himself in order to contract with Ephrem Fusion.
5.1. The Seller
The Company Ephrem Fusion, Limited Liability Company, with a share capital of 50 000 euros, whose registered office is located at 5000 RD 4096, 04180 VILLENEUVE, registered with the Registre du Commerce et des Sociétés de MANOSQUE under number 854 076 775, VAT number FR 72 854 076 775, Telephone 04.92.78.66.13, Email : contact@ephrem-fusion.com
5.2. The Customer
The Customer must identify him/herself either by logging into his/her personal account created during a previous visit by entering his/her login and password or by filling in the mandatory identification fields, i.e.: surname, first name, address, e-mail address and telephone number. In the case of professional Customers, the fields relating to the company name, the intra-Community VAT number and the SIRET number must be completed. Following this, the Customer must enter a password containing a minimum of 12 characters (including, by way of recommendation, special characters) and then confirm it, enabling them to create their account. An e-mail confirming the creation of the account will be sent to the Customer for their information. Customers are reminded that they are responsible for keeping their login details confidential. Furthermore, the provision of this personal information is imperative for the purposes of processing the order. The collection and processing of this data is the subject of specific information in the charter on the processing of personal data, which the Customer acknowledges having read and accepted.
Article 6 – Delivery – Collection
6.1. Delivery
Products are deemed to be delivered to the Customer’s address indicated at the time of identification. However, the Customer may specify a specific delivery address. In the case of exclusive purchases of “accessory” products, delivery is by Colissimo. When purchasing ovens (and any accessories), the customer must indicate on the e-shop site whether the delivery address is accessible by semi-trailer (14 tons) or light vehicle (maximum 480 kg order). In the absence of accessibility, the Customer must complete the quotation form in order to determine the delivery terms and costs appropriate to the situation.
Our products are delivered as close as possible to the location indicated, depending on accessibility, on the sidewalk or shoulder, at the foot of the truck. The Customer must therefore take the necessary measures to ensure the movement/handling of the goods delivered at the foot of the lorry and this by material means (lifting equipment, elevators, transporters, etc.) and human means on the date indicated. Ephrem Fusion cannot be held responsible in the event that the Customer has given incorrect information on the accessibility of the delivery location. In case of impossibility for the carrier to deliver the goods, the Customer will have to pick up his goods on the carrier’s storage site and this at his exclusive expense without the responsibility of Ephrem Fusion or the Carrier can not be held liable.
6.2. Collection
The Customer may choose to collect their order directly from Ephrem Fusion’s head office. In this case, the order will be made available to the Customer for collection within the time specified on the e-shop Site. The Customer must have a vehicle suitable for the size and weight of the products ordered.
Article 7 – Shipping time – Delivery time
The Products ordered are ready for collection or entrusted to the carrier within 72 hours (working days) of their actual purchase on the e-shop Site, except in the cases provided for in article 4 herein. Except in the case of collection, the Customer is informed, before finalizing his order, of the delivery times applicable to the products ordered. The delivery times specified when the order is placed are those communicated by partner carriers for information purposes only. Ephrem fusion cannot therefore be held responsible for any delays attributable to the carriers.
An information e-mail is sent to the Customer to inform him that his order has been dispatched and entrusted to the carrier.
In case of failure by Ephrem Fusion to its obligation to deliver within 15 days of the order, the Customer may terminate the contract, by registered letter with acknowledgment of receipt or by writing on another durable medium, if, after having enjoined, by the same means, Ephrem Fusion to make the delivery within a reasonable additional period, the latter has not complied within this period.
The contract shall be deemed terminated upon receipt by Ephrem Fusion of the letter or writing informing it of such termination, unless the latter has performed in the meantime.
Nevertheless, the Customer may immediately cancel the contract when Ephrem Fusion refuses to deliver the goods or when the latter does not perform its obligation to deliver the goods on the scheduled date, if this date or this deadline constitutes for the Customer an essential condition of the contract. This essential condition results from the circumstances surrounding the conclusion of the contract or from an express request by the Customer prior to the conclusion of the contract.
Article 8 – Prices
The prices of Ephrem products are those specified on the e-shop Site, applicable at the time of order, products packaged and on pallet (with the exception of DOM TOM where a specific packaging surcharge is invoiced). Prices are indicated in euros, inclusive of all taxes (the price exclusive of tax and VAT applicable on the day of the order is indicated in the shopping basket). They do not take into account delivery costs, charged extra depending on the choice made by the Customer, and specified in the order summary before validation. Ephrem Fusion reserves the right to modify its prices at any time, but undertakes to apply the current prices indicated at the time of the order, subject to availability on that date.
Article 9 – Payment methods
The customer may pay for the entire order in cash on the e-shop site by credit card, Visa, Mastercard, etc. The customer may also choose to pay for the order in 3 or 4 instalments free of charge with Oney for purchases of up to €3,000 including VAT (postage included). In this case, the customer undertakes to read and accept the conditions and risks of this consumer credit communicated by Oney before validating his choice, of which he is the sole decision-maker. Ephrem fusion cannot be held responsible.
Article 10 – Order completion – Payment
To finalize the order, the Customer must enter the chosen method of payment. In the case of a cash purchase, the Customer must fill in the name of the cardholder, the card number, the expiry date and the cryptogram. The data entered is not recorded and stored by the e-shop site.
If the Customer chooses to pay in 3 or 4 instalments without charge, he/she is informed of the payment due dates and is redirected to the ONEY website, where he/she must enter his/her credit card details, create an account and acknowledge that he/she has read and accepts the conditions of this method of purchase. Following this, the Customer must acknowledge having read and accepted the present General Terms and Conditions and the personal data processing charter, then click on “confirm my order”. The customer is then redirected to the 3D Secure page to authenticate and secure the purchase. If this last operation is successful, the sale of the products ordered is definitive. An e-mail is sent to the customer confirming the order, together with the invoice. Ephrem Fusion cannot be held responsible in the event of an error in entering the e-mail address concerned, or of non-receipt of the Order confirmation message.
However, Ephrem Fusion reserves the right to suspend any order and any delivery in case of refusal to authorise payment by credit card from the officially accredited bodies or in case of non-payment. Ephrem Fusion also reserves the right to refuse to make a delivery or to honour an order from a Client who has not fully or partially settled a previous order or with whom a payment dispute is being administered.
Article 11 – Electronic signature and proof
The provision of a bank card number on the e-shop Site in the event of a cash purchase or acceptance of a purchase in 3 or 4 instalments free of charge in accordance with Oney’s General Terms and Conditions of Sale and the final validation of the order by the Customer constitute proof of the agreement and consequently (1) Exigibility of the sums due under the order form and (2) Signature and express acceptance of all operations carried out. The computerised records kept in the computer systems of Ephrem Fusion and its partners will be considered as proof of the communications, Orders and payments that have taken place between the Parties. The Parties agree that all data, information, files and any other digital element exchanged between the Parties will constitute admissible, valid, opposable proof and will have the probative force of a private deed. The Parties undertake not to contest the admissibility, validity, enforceability or evidential value of the aforementioned elements of an electronic nature or in an electronic format, on the basis of their electronic nature. In the absence of proof to the contrary, these elements will be valid and enforceable between the Parties in the same way, under the same conditions and with the same evidential value as any document drawn up, received or kept in writing.
Article 12 – Transfer of ownership and risks
The transfer of ownership does not occur until full payment of the price by the Customer, regardless of the date of delivery or collection. The transfer of the risks of loss and deterioration of the products will take place upon delivery of the purchased products at the foot of the lorry or upon collection at Ephrem Fusion’s head office.
Article 13 – Transport – Reception
Our goods travel at the risk of the Customer only in case of collection of his order at the headquarters of Ephrem Fusion. If at the time of delivery, the original packaging is damaged, torn or open, the Client must check the condition of the products. If they have been damaged, it is imperative to refuse the package, note a reservation on the delivery note accompanied by his signature and report any anomaly concerning the delivery (damage, missing product compared to the delivery note, damaged package, broken products …). This verification is considered to have been carried out once the Customer or a person authorised by the Customer has signed the delivery note. The Customer must then confirm these reservations to the carrier by registered mail no later than two working days following receipt of the item(s) and send a copy of this letter by email of which receipt will have been acknowledged, fax, or registered mail to Ephrem Fusion at the address of its headquarters.
Article 14 – Delivery errors
The Customer must notify Ephrem Fusion on the day of delivery of any claim of error in delivery in relation to the information on the order. Any claim made after this deadline will be rejected. Any claim not made in the rules defined above and within the time limits could not be taken into account and will release Ephrem Fusion from any liability to the Customer. Upon receipt of the claim, Ephrem Fusion will generate a return voucher and communicate it by e-mail to the Customer. In case of error of delivery or exchange, any product to be exchanged or refunded must be returned to Ephrem Fusion as a whole and in its original packaging with a copy of the return form, by a carrier appointed by the latter. Ephrem Fusion is responsible for return shipping costs.
Article 15 – Right of withdrawal
Only the consumer Customer within the meaning of the Consumer Code has a withdrawal period of 14 working days from the date of delivery of their order, to return any product that does not suit them and request an exchange or refund without penalty. If the Consumer Customer exercises this right, the choice of carrier, the risks relating to transport and the cost of transport shall be borne exclusively by the Consumer Customer, in accordance with the provisions of the French Consumer Code. Products must be returned in their original packaging, on a pallet and in perfect condition within 14 days of the communication of the Customer’s decision to cancel to Ephrem Fusion. Returns are to be made in their original condition and complete (packaging, accessories, instructions …) allowing their remarketing in new condition, accompanied by the purchase invoice. Damaged, soiled or incomplete products will not be accepted. The declaration of withdrawal must be unambiguous and express the desire to withdraw. If the right of withdrawal is exercised within the aforementioned period, the price of the product(s) purchased and the delivery costs will be reimbursed. The exchange (subject to availability) or refund will be made within 14 days of receipt by Ephrem Fusion of the products returned by the Customer under the conditions set out above.
Article 16 – Warranties
16.1 Legal guarantee of conformity
Ephrem Fusion guarantees the conformity of the products purchased only with regard to the Consumer Customer as defined by the Consumer Code, as follows:
In accordance with the provisions of article L. 217-3 of the French Consumer Code:
« Le vendeur délivre un bien conforme au contrat ainsi qu’aux critères énoncés à l’article L. 217-5. Il répond des défauts de conformité existant au moment de la délivrance du bien au sens de l’article L. 216-1, qui apparaissent dans un délai de deux ans à compter de celle-ci. […]. Le vendeur répond également, durant les mêmes délais, des défauts de conformité résultant de l’emballage, des instructions de montage, ou de l’installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité, ou encore lorsque l’installation incorrecte, effectuée par le consommateur comme prévu au contrat, est due à des lacunes ou erreurs dans les instructions d’installation fournies par le vendeur. Ce délai de garantie s’applique sans préjudice des articles 2224 et suivants du code civil. Le point de départ de la prescription de l’action du consommateur est le jour de la connaissance par ce dernier du défaut de conformité. »
Under Article L. 217-4 of the French Consumer Code :
« Le bien est conforme au contrat s’il répond notamment, le cas échéant, aux critères suivants :
1° Il correspond à la description, au type, à la quantité et à la qualité, notamment en ce qui concerne la fonctionnalité, la compatibilité, l’interopérabilité, ou toute autre caractéristique prévues au contrat ;
2° Il est propre à tout usage spécial recherché par le consommateur, porté à la connaissance du vendeur au plus tard au moment de la conclusion du contrat et que ce dernier a accepté ;
3° Il est délivré avec tous les accessoires et les instructions d’installation, devant être fournis conformément au contrat ;
4° Il est mis à jour conformément au contrat. »
In accordance with the provisions of Article L217-5 of the French Consumer Code:
« I.-En plus des critères de conformité au contrat, le bien est conforme s’il répond aux critères suivants :1° Il est propre à l’usage habituellement attendu d’un bien de même type, compte tenu, s’il y a lieu, de toute disposition du droit de l’Union européenne et du droit national ainsi que de toutes les normes techniques ou, en l’absence de telles normes techniques, des codes de conduite spécifiques applicables au secteur concerné ;
2° Le cas échéant, il possède les qualités que le vendeur a présentées au consommateur sous forme d’échantillon ou de modèle, avant la conclusion du contrat ;
3° Le cas échéant, les éléments numériques qu’il comporte sont fournis selon la version la plus récente qui est disponible au moment de la conclusion du contrat, sauf si les parties en conviennent autrement ;
4° Le cas échéant, il est délivré avec tous les accessoires, y compris l’emballage, et les instructions d’installation que le consommateur peut légitimement attendre ;
5° Le cas échéant, il est fourni avec les mises à jour que le consommateur peut légitimement attendre, conformément aux dispositions de l’article L. 217-19 ;
6° Il correspond à la quantité, à la qualité et aux autres caractéristiques, y compris en termes de durabilité, de fonctionnalité, de compatibilité et de sécurité, que le consommateur peut légitimement attendre pour des biens de même type, eu égard à la nature du bien ainsi qu’aux déclarations publiques faites par le vendeur, par toute personne en amont dans la chaîne de transactions, ou par une personne agissant pour leur compte, y compris dans la publicité ou sur l’étiquetage.
II.-Toutefois, le vendeur n’est pas tenu par toutes déclarations publiques mentionnées à l’alinéa qui précède s’il démontre :
1° Qu’il ne les connaissait pas et n’était légitimement pas en mesure de les connaître ;
2° Qu’au moment de la conclusion du contrat, les déclarations publiques avaient été rectifiées dans des conditions comparables aux déclarations initiales ; ou
3° Que les déclarations publiques n’ont pas pu avoir d’influence sur la décision d’achat.
III.-Le consommateur ne peut contester la conformité en invoquant un défaut concernant une ou plusieurs caractéristiques particulières du bien, dont il a été spécifiquement informé qu’elles s’écartaient des critères de conformité énoncés au présent article, écart auquel il a expressément et séparément consenti lors de la conclusion du contrat. »
Under Article L. 217-7 of the French Consumer Code:
« Les défauts de conformité qui apparaissent dans un délai de vingt-quatre mois à compter de la délivrance du bien, y compris du bien comportant des éléments numériques, sont, sauf preuve contraire, présumés exister au moment de la délivrance, à moins que cette présomption ne soit incompatible avec la nature du bien ou du défaut invoqué.
Pour les biens d’occasion, ce délai est fixé à douze mois.
Lorsque le contrat de vente d’un bien comportant des éléments numériques prévoit la fourniture continue d’un contenu numérique ou d’un service numérique, sont présumés exister au moment de la délivrance du bien les défauts de conformité qui apparaissent :
1° Durant un délai de deux ans à compter de la délivrance du bien, lorsque le contrat prévoit cette fourniture pendant une durée inférieure ou égale à deux ans ou lorsque le contrat ne détermine pas la durée de fourniture ;
2° Durant la période durant laquelle le contenu numérique ou le service numérique est fourni en vertu du contrat, lorsque celui-ci prévoit cette fourniture pendant une durée supérieure à deux ans.
16.2 Legal guarantee against hidden defects
Ephrem Fusion guarantees defects in Ephrem products within the meaning of articles 1641 et seq. of the French Civil Code. According to these provisions:
« Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l’usage auquel on la destine, ou qui diminuent tellement cet usage que l’acheteur ne l’aurait pas acquise, ou n’en aurait donné qu’un moindre prix, s’il les avait connus ».
In other words, the guarantee does not cover:
- apparent defects of which the Customer has been able to convince himself,
- normal wear and tear of the Oven, in particular wearing parts, micro cracks, etc;
- use of the Oven that does not comply with its intended use, the recommendations of the seller and/or the regulations in force;
- negligence or lack of supervision on the part of the user, in particular any premature deterioration not reported to the seller in good time;
- failure to maintain the equipment;
- work carried out by unqualified personnel;
- events external to the equipment itself (theft, vandalism, malevolence, impact, flooding, fire, transport);
- non-compliant modifications made to the Four by third parties or the user himself.
- Damage caused by faulty installation, overheating or the use of inappropriate fuels.
Under article 1648 of the French Civil Code:
« L’action résultant des vices rédhibitoires doit être intentée par l’acquéreur dans un délai de deux ans à compter de la découverte du vice ».
The consumer may decide to invoke the guarantee against hidden defects in the item sold, as defined in article 1641 of the French Civil Code. In this case, they may choose between rescinding the sale or reducing the purchase price in accordance with article 1644 of the French Civil Code.
16.3 Commercial warranties for Ephrem ovens
Without prejudice to legal warranties, the warranty on Ephrem ovens is 5 years, with the exception of metal components, which are guaranteed for 2 years from the date of purchase of the oven. Only the original sales invoice drawn up by Ephrem Fusion and given to the Client is valid as proof for the guarantee. The guarantee starts on the date of the invoice and becomes effective once payment for the oven has been made in full. Ephrem ovens are guaranteed against defects in conformity existing at the time of delivery, manufacturing defects or hidden design defects prior to the sale, rendering them unfit for use. In particular, the warranty does not cover:
- apparent defects of which the Customer has been able to convince himself,
- normal wear and tear of the Oven, in particular wearing parts, micro-cracks, etc;
- use of the Oven that does not comply with its intended use, the recommendations of the seller and/or the regulations in force;
- negligence or lack of supervision on the part of the user, in particular any premature deterioration not reported to the seller in good time;
- failure to maintain the equipment;
- work carried out by unqualified personnel;
- events external to the equipment itself (theft, vandalism, malevolence, impact, flooding, fire, transport);
- non-compliant modifications made to the Four by third parties or the user himself;
- Damage caused by faulty installation, overheating or the use of inappropriate fuels.
The warranty is limited to the replacement of parts found to be defective, to the exclusion of replacement costs, damages and interest. The replacement of parts does not extend the initial warranty period. In the event that the ovens are found to be defective, Ephrem Fusion may either ask the Client to return the products concerned or request the visit of any professional of its choice in order to examine them. If the defectiveness of the products is not confirmed or if it turns out that the defects are the result of a fault on the part of the Client or a third party, the cost of returning the products and of the professional’s intervention will be borne exclusively by the Client. In any event, no product returns will be accepted without the prior written agreement of Ephrem Fusion. If this is not the case, the cost of returning the product for storage and any return costs will be borne by the Customer.
Article 17 – Force majeure
Are considered as force majeure or fortuitous events, events beyond the control of the parties, which they could not reasonably be expected to foresee, and which they could not reasonably avoid or overcome, insofar as their occurrence makes it totally impossible to perform the obligations.
In particular, the following are assimilated to cases of force majeure or fortuitous events that relieve Ephrem Fusion of its obligation to deliver within the initially planned deadlines: strikes by all or part of Ephrem Fusion’s staff or its usual transporters, fire, flooding, war, production stoppages due to fortuitous breakdowns, the impossibility of being supplied with raw materials, epidemics, thaw barriers, roadblocks, strikes or disruptions to EDF-GDF supplies, or disruptions to supplies for reasons not attributable to Ephrem Fusion, as well as any other cause of disruptions to supplies that cannot be attributed to Ephrem Fusion.
In such circumstances, Ephrem Fusion will notify the Client in writing, including by fax or email, within 24 hours of the date of occurrence of the events, the contract binding Ephrem Fusion and the Client being then suspended by right without compensation, from the date of occurrence of the event. If the event lasts more than thirty (30) days from the date of its occurrence, the sales contract concluded by Ephrem Fusion and its Client may be terminated by the most diligent party, without either party being able to claim damages. This termination will take effect on the date of first presentation of the registered letter with acknowledgment of receipt denouncing the said sales contract. Ephrem Fusion will then undertake to reimburse the sums paid by the Customer at the time of the order within 14 days of receipt of the cancellation.
Article 18 – Intellectual property
The content of the website (legal documents, technical documents, drawings, photographs, etc.) remains the property of Ephrem Fusion, which is the sole owner of the intellectual property rights over this content. The Customer undertakes not to make any use of this content; any total or partial reproduction thereof is strictly prohibited and is likely to constitute an infringement of copyright.
Article 19 – Partial invalidity
If one or more of the stipulations of these general terms and conditions are held to be invalid or declared such in application of a law, regulation or following a decision by a competent court, the other stipulations will retain all their force and scope. The Parties will endeavour in good faith to find an economically equivalent clause to replace the clauses declared null, void or invalid.
Article 20 – Complaints – Mediation

In the event of a dispute, the Customer must set out the reasons for its grievances and produce any useful document for processing its request.
In accordance with article L.612-1 et seq. of the Consumer Code, the consumer Customer, after having contacted customer services and in the absence of a satisfactory response within a period of 2 months, may have recourse free of charge to a conventional mediation procedure with the FEVAD Consumer Mediator, whose postal address is Médiateur de la consommation FEVAD BP 20015 – 75362 PARIS CEDEX 8 – e-mail: mediateurduecommerce@fevad.com and whose referral procedures are available on its website: https://www.mediateurfevad.fr/index.php/contact/.
Article 21 – Competent jurisdiction
All disputes to which the purchase operations concluded in application of these general conditions of sale may give rise, concerning both their validity, interpretation, execution, termination, consequences and consequences and which could not be resolved amicably between Ephrem Fusion and the Customer, will be submitted to the competent Courts under the conditions of common law.
Article 22 – Applicable law
Any question relating to the present general terms and conditions of sale as well as to the sales they govern, which is not dealt with by the present contractual stipulations, will be governed by French law to the exclusion of any other law.
Article 23 – Personal data
For the purposes of managing orders and monitoring our customers, commercial prospecting, prevention and carrying out statistical analyses, Ephrem Fusion is required to collect and process the Customer’s personal data and mainly identification data (surname, first name, email address, postal address, telephone number, etc.). Ephrem Fusion ensures that it only collects data that is strictly necessary for the purpose of the processing carried out. Ephrem Fusion only keeps personal data for as long as is necessary for the operations for which it was collected and in compliance with the regulations in force.
